CHICAGO 5TH GEN “WORKING” CONSTITUTION AND BY-LAWS OF 5th December 2010 Chicago 5th Gen Car Club of the Chicago Land Area is a non-profit organization with the intent of organizing events for the enjoyment of it’s members. The Chicago 5th Gen is governed by the bylaws and regulations set forth herein. Article I: Name 1. The name of this organization shall be Chicago 5th Gen located in the Chicagoland area of northern Illinois, and herein referred to as Chicago 5th Gen or C5G and designated as such. Article II: Purpose 1. To create an interest in the 5th Generation Camaros 2. To aid new comers to the product 3. To promote club events 4. To improve friendship among members 5. To exchange knowledge and ideas 6. To have social activities and participate in local Chicagoland area car events 7. To network skills, talents and careers of members who share a 5thGen interest. Article III: Membership 1. Any member deliberately breaking club rules, not acting in a sportsmanlike manner, or showing uncooperativeness is subject to expulsion from the club by a unanimous decision of the officers. This action can also be initiated by a signed petition of any member. Further evaluation of the petition will require a 2/3rds co-chairmen decision. 2. Club members are permitted to have guests at events and at the meetings subject to any possible costs or charges for non-members, if applicable at said event or meeting. 3. Each officer, co-chair, and member is expected to volunteer his/her services in proportion to all members of the club. 4. C5G and its members shall not discriminate any member or activity/event based on Race, gender or religious affiliation or lack thereof. Article IV: Becoming a Member Becoming an Associate: visit http://www.chicago5thgen.com and register. That’s it, Welcome to C5G! Becoming a Member: To become a member, an associate will need to demonstrate that he or she owns or possesses a 5th Generation Camaro and submit annual dues of $30.00. Members not renewing their dues within 30 days of their due date will be reclassified as Associate Member until said dues are made current. Article V: Dues and Finances The Board has the discretion of setting Annual Dues and shall set dues annually during the January meeting each year. A dues increase or decrease will have to be approved by a Majority vote of the Board. A minimum of a quorum of the Board must be present and vote on any Dues increase or decrease. A special meeting may be called by the Board if the Club is in Financial Distress as defined by a Bank Account balance reported by the Treasurer of $100.00 or less to review the dues policy. A Quorum is defined as six (6) out of seven (7) Board Members. Article VI: Board Meetings 1. Board Meetings are to be held monthly at a designated place and time. 2. Meetings shall be conducted in an informal business-like manner and should be as informative as possible. 3. Club associated business should prevail at all meetings. “Bull Sessions”, “out of turn”, “off the subject”, etc., should follow the meeting and not be part of it. This will insure that the meetings are short and to the point. 4. The club officers may call a special meeting as deemed necessary. 5. The club recording secretary shall keep minutes of every meeting. 6. The following business items shall be executed at each meeting. a) Reading and approval of minutes from previous meeting b) Chairman reports c) Old business d) New business e) Open floor suggestions for the good of the club . 7. A Quorum of the Board must be present in person or via telephone communication to vote on any additions or revisions of the bylaws and any changes, additions or revisions of said By-Laws shall only be approved upon a majority vote of said Quorum. Article VII: Nominations and Elections 1. Officers are to be appointed on an Annual basis by the Board. 2. Nominations are to be held at the February monthly meeting. All dues paying Members may nominate a candidate to be considered by the Board for an officer position as well as nominate a new Board position to be determined by the Co-Chairs and Board. List of candidates is to be posted on the C5G site by the Secretary by January 28th, and March voting will be conducted by the Board at the March meeting . 3. Officers to be elected are: Secretary/Record Keeper, Two Events Coordinator, Membership Director, Media/Photographer Director, Website Administrator (2 positions) and Treasurer. 4. In order to be eligible to be appointed by the Board as an officer, an individual must be a Dues paying member for 13 months as of the January 1st immediately prior to the February nominating meeting. 5. In the event of the resignation of a co-chair or his /her inability to fulfill the duties of their office for a period in excess of three months the Board may elect a new co-chair. In order to be eligible to be nominated as a Co-Chair, an individual must be a dues paying member and Officer for two years and one month as of the January 1st immediately prior to the February nominating meeting. 6. In the event of resignation of an officer or Co-Chair, the Board will appoint an Interim designated officer for the remainder of said term. A quorum of the Board must be present to vote on said appointment and said appointment must be approved by a majority of said quorum present. A quorum of the Board is defined as six (6) of the seven (7) Board Members. 7. The one year terms of any officer or co-chair elected may run consecutively and are not limited in successive annual terms.

Typo: Article X: Event Rules/Meet Ground Rules 8. Media/Guest Policy: Please understand that while we do not outright hate non-5th Gens, our entire point is that we’re not line every other car club/website! To that end, we politely ask that folks that aren’t yet 5th Gen drivers or folks that bring guests to please bear with us and help us out by not parking immediately next to/between 5th Gens, etc., by breaking cruise/touring groups. Why? We take a lot of pictures and videos and would appreciate everyone’s help in allowing us to get good group shots. I think should be "like". ------------------------------------------------------------- Article II: Purpose 1. To create an interest in the 5th Generation Camaro’s Should this be just "Camaros" --------------------------------------------------------------------------- Article VIII: Voting 2. One nomination per Dues paying Member. Dues Paying Members are determined as of January 1, immediately prior to the February nomination meeting. The Secretary shall establish a separate Thread on the C5G website on January 28th of each year for the Purpose of Members to Nominate Candidates to be considered for Board officers positions and or for nominations for new possible positions to be considered by the c0-chairs and Board. Should be a "o" -------------------------------------------------------------- Article X: Event Rules/Meet Ground Rules 2. Absolutely no burnouts. While I understand this rule, we do occasionally break it and are "sometimes" encouraged to do so. I remember The Rockford Hooters Cruise last year as an example. Can this be reworded to "Discouraged" or some other word so that when we are at certain meets that burnouts may be allowed, or even appropriate, it wouldn't be "breaking the rules"? --------------------------------------------------------------- There are various periods and other punctuations that are missing but that isn't my game so my proof reading is now done. i think I got everything or at least I hope I did.
